3 Client Responsibilities

4 Intellectual Property

You retain ownership of your brand assets, confidential information, and pre-existing intellectual property. IRIS TECH retains ownership of methodologies, frameworks, and internal tooling. Upon full payment for services, you receive a license to use deliverables created specifically for your project, aligned with the agreed scope.

5 Confidentiality & Data Protection

Both parties agree to keep confidential information secure. We apply encryption, access controls, and ethical AI principles to preserve client trust. For more details on data handling practices, refer to our Privacy Policy. We may sign mutual NDA agreements upon request.

6 Payment Terms

Project fees, retainers, or subscription plans are outlined in official proposals or invoices. Payments are due within the agreed timeframe. Late payments may result in paused services, rescheduled deliverables, or applicable finance charges. Taxes, banking fees, or currency conversion charges are your responsibility unless otherwise specified.

7 Limitation of Liability

IRIS TECH provides strategic advice and AI-powered execution based on the data and instructions provided by clients. We cannot guarantee specific financial outcomes, platform performance, or third-party compliance. Our liability is limited to direct damages up to the amount paid for the relevant services.

8 Acceptable Use of AI & Automation

You agree to use AI outputs ethically and lawfully. Prohibited activities include:

• Generating misleading, defamatory, or discriminatory content.
• Violating privacy rights or intellectual property laws.
• Deploying automation that breaches platform rules or spams users.
• Using deliverables to create deceptive synthetic media without disclosure.

9 Termination

Either party may terminate a service agreement with written notice if the other party materially breaches these terms and fails to remedy the breach within a reasonable period. Upon termination, all outstanding invoices become immediately due.

10 Governing Law & Dispute Resolution

These terms are governed by the laws of the State of New Mexico, United States. Disputes will first be addressed through good-faith negotiation. If unresolved, parties agree to binding arbitration in Albuquerque, New Mexico.
